Terms of Service

IMPORTANT NOTICE: THESE TERMS CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MIGHT APPLY TO YOU. PLEASE READ IT CAREFULLY.
These Terms of Service (the "Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity you represent) ("User", "You", or "Your") and Ardcast Services Limited (registered in Scotland, Company Number: SC755888), operating on behalf of itself, its subsidiaries, and its ultimate holding company Ardcast Limited (collectively, "Company", "We", "Us", or "Our").
These Terms govern your access to and use of:
Our website located at https://ardcast.com (the "Site");
Our mobile applications available on iOS and Android platforms (the "Apps");
Our web-based digital tools, including but not limited to financial calculators, mortgage estimators, and utility software (the "Tools");
Our e-commerce marketplace for physical and digital goods (the "Marketplace");
(collectively, the "Services").
BY ACCESSING, DOWNLOADING, REGISTERING WITH, OR USING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. Interpretation and Definitions
1.1. Key Definitions
"Affiliate" means an entity that controls, is controlled by, or is under common control with the Company.
"Content" means text, code, graphics, images, audio, video, software, data compilations, and any other form of information capable of being stored in a computer.
"Consumer" means an individual acting for purposes that are wholly or mainly outside that individual's trade, business, craft, or profession.
"Intellectual Property Rights" means all patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information.
1.2. Interpretation
The headings in these Terms are for convenience only and shall not affect their interpretation. Words in the singular include the plural and vice versa. Any words following the terms "including", "include", "in particular", "for example" or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
2. Eligibility and Account Security
2.1. Age Restrictions
The Services are intended for users who are at least 18 years old. By using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.
2.2. Account Registration
To access certain features of the Services, you may be required to register an account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the Services' registration forms. You acknowledge that if any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right to terminate your use of the Services.
2.3. Security Responsibilities
You are responsible for maintaining the confidentiality of your password and account details. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.
3. Intellectual Property Rights
3.1. Ownership
The Services and their entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
3.2. Limited License
These Terms permit you to use the Services for your personal, non-commercial use only (unless you have a separate Commercial Agreement with us). You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.
3.3. Trademarks
The Company name, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.
4. Acceptable Use Policy
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the UK or other countries).
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm the Company or users of the Services or expose them to liability.
4.1. Technical Restrictions
Additionally, you agree not to:
Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services (Scraping).
Use any device, software, or routine that interferes with the proper working of the Services.
Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
5. Mobile Application End User License (EULA)
This section applies to your use of our mobile applications (the "App").
5.1. License Grant
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license, without the right to sublicense, to download and install a copy of the App on a mobile device or computer that you own or control and to run such copy of the App solely for your own personal, non-commercial purposes.
5.2. Apple App Store and Google Play Store Terms
If you downloaded the App from the Apple App Store or Google Play Store (the "App Provider"):
Acknowledgement: You acknowledge that these Terms are between you and the Company only, and not with the App Provider. The Company, not the App Provider, is solely responsible for the App and the content thereof.
Maintenance: You acknowledge that the App Provider has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify the App Provider, and the App Provider will refund the purchase price for the App to you (if applicable). To the maximum extent permitted by applicable law, the App Provider will have no other warranty obligation whatsoever with respect to the App.
Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
6. Financial Tools and Mortgage Disclaimers
IMPORTANT: This section significantly limits our liability regarding financial tools. Please read carefully.
6.1. Informational Purposes Only
The Services may contain calculators, estimates, and tools related to mortgages, loans, taxes, and investments (the "Financial Tools"). The Financial Tools are provided for educational and informational purposes only. The output of these tools is based on estimates and assumptions that may not apply to your specific situation.
6.2. Not a Financial Advisor or Lender
The Company is NOT a lender, mortgage broker, financial advisor, or tax advisor. We do not make credit decisions or underwrite loans. The use of the Financial Tools does not constitute a loan application or an offer to lend.
6.3. No Fiduciary Duty
You agree that no fiduciary relationship or duty exists between you and the Company. You should always consult with qualified professional advisors (such as a qualified accountant, solicitor, or independent financial advisor) before making any financial decisions.
6.4. Accuracy of Data
We do not guarantee the accuracy, reliability, or completeness of any data produced by the Financial Tools. Interest rates, tax laws, and market conditions change frequently. We are not responsible for any errors or omissions, or for the results obtained from the use of this information.
7. E-Commerce Terms (Physical Goods)
This section applies to the purchase of physical goods via our Marketplace.
7.1. Orders and Acceptance
All orders are subject to acceptance by us. We may choose not to accept your order for any reason without liability to you. After submitting an order, we will send you an order acknowledgement email. This does not mean that your order has been accepted. Acceptance of your order generally takes place when we dispatch the goods.
7.2. Pricing and Errors
Prices for products are subject to change without notice. While we strive to ensure accuracy, errors may occur. If we discover an error in the price of goods you have ordered, we will inform you as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you, we will treat the order as cancelled.
7.3. International Shipping and Customs
If you order products from our Site for delivery outside the United Kingdom, your order may be subject to import duties and taxes which are applied when the delivery reaches that destination. Please note that we have no control over these charges and we cannot predict their amount. You will be responsible for payment of any such import duties and taxes. You must comply with all applicable laws and regulations of the country for which the products are destined.
7.4. Returns (UK Consumer Rights Act 2015)
If you are a consumer based in the UK/EU, you have a legal right to cancel a Contract under the Consumer Contracts Regulations 2013 during the period set out below:
You may cancel the Contract at any time within 14 days, beginning on the day after you received the Products.
To cancel, you must inform us in writing.
You must return the products to us at your own cost (unless the item is faulty) in their original condition.
8. Digital Content and Software Sales
8.1. Waiver of Cooling-Off Period
By purchasing digital content (including but not limited to software downloads, in-app purchases, PDF reports, or subscription access) which is available for immediate download or use, you expressly give your consent to the immediate supply of the digital content and acknowledge that you will lose your right of withdrawal (the "cooling-off period") once the supply has begun.
8.2. License to Digital Goods
Upon payment, we grant you a non-exclusive, non-transferable license to use the digital content for your personal use. You may not redistribute, sell, lend, or lease the digital content to any third party.
9. Third-Party Services and Lead Generation
9.1. Intermediary Status
We may provide a service where we introduce you to third-party providers, such as mortgage lenders, insurance brokers, or real estate agents ("Partners"). In these cases, we act solely as an intermediary/introducer and not as a principal.
9.2. No Endorsement
The inclusion of any Partner on our Services does not imply endorsement or recommendation. We do not guarantee that any Partner will accept your application or offer you specific terms. Any contract you enter into with a Partner is strictly between you and that Partner.
9.3. Commissions
You acknowledge that we may receive a commission or referral fee from Partners when you use their services through our links. This allows us to provide many of our Services to you for free.
10. User-Generated Content
If you post reviews, comments, photos, or other content ("User Content"):
You grant the Company a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.
You represent and warrant that you own or otherwise control all of the rights to the User Content that you post; that the User Content is accurate; and that use of the User Content you supply does not violate this policy and will not cause injury to any person or entity.
11. Privacy and Data Protection
Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such processing and you warrant that all data provided by you is accurate.
For users in the UK and EEA, we comply with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018.
12. Service Availability and Updates
We do not guarantee that the Services, or any content on them, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Services for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
We may update and change our Services from time to time to reflect changes to our products, our users' needs, and our business priorities.
13. Disclaimers and No Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.
14.1. Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
14.2. Cap on Liability
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. IF NO AMOUNTS WERE PAID, OUR LIABILITY SHALL BE LIMITED TO ONE HUNDRED POUNDS STERLING (£100.00).
14.3. UK Law Exception
Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by Scottish law.
15. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.
16. Dispute Resolution and Governing Law
16.1. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Scotland.
16.2. Jurisdiction
The courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms. However, we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.
16.3. Class Action Waiver
WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
17. Miscellaneous Provisions
Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Waiver: No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
Entire Agreement: These Terms, our Privacy Policy, and any other policies posted on the Site constitute the sole and entire agreement between you and the Company regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
Force Majeure: We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by an act or event beyond our reasonable control (e.g., strikes, internet failures, pandemics, wars).
